Vendor Verification & Listing Agreement

Plain-English Summary

This Agreement is between OfficialCutCost (“the Platform”) and the applying individual or entity (“Vendor”). By applying, paying, or activating a listing, Vendor agrees to these terms.
1. Platform Role
OfficialCutCost is a verified business directory and category-based discovery platform. The Platform screens vendors, lists approved vendors under categories, and promotes the directory through platform-wide marketing.
The Platform does not guarantee sales, leads, revenue, or customer acquisition and is not a payment processor/escrow. Vendor remains solely responsible for all transactions with customers.
2. Verification Eligibility & Approval
Approval is at the Platform’s discretion. The Platform may request additional documentation, conduct reviews, and reassess verification status. False or misleading submissions may result in denial, revocation, or disqualification.
3. Annual Listing Fee & Term
Approved vendors pay an annual Verification & Listing Fee of:
₦75,000 (Seventy-Five Thousand Naira)
This includes:
- Verification status and badge authorization
- 12-month directory listing
- Category placement
- Credibility positioning
- Inclusion in platform-wide promotional visibility for the directory/categories
Term: Starts on activation and runs for 12 consecutive months.
Refunds: Fees are non-refundable once the listing is activated, regardless of outcomes or performance.
4. Platform Promotion & No Vendor-Specific Guarantee
The Platform may run advertising to promote the directory and categories. Promotion is platform-wide and not vendor-specific unless explicitly stated.
Vendor acknowledges:
- Visibility/traffic does not guarantee sales
- Outcomes depend on vendor performance and customer decisions
- Listing fees cover verification and structured visibility services only
5. Vendor Responsibilities
Vendor agrees to:
- Provide truthful and current information
- Operate lawfully
- Deliver goods/services as represented
- Maintain professional communication
- Keep contact info reachable
- Respond to complaints promptly
- Cooperate with investigations and reviews
Vendor must not engage in fraud, illegal practices, or reputation-damaging conduct.
6. Monitoring, Enforcement & Termination
Verification is subject to ongoing compliance. The Platform may review, request updates, investigate complaints, and suspend listings pending review.
If violations occur, the Platform may remove verification, suspend/terminate listing, mark vendor non-compliant, restrict re-application, and report substantiated criminal activity where appropriate.
Termination for violations does not entitle Vendor to a refund.
7. Badge Usage & Intellectual Property
OfficialCutCost’s name/logo/badge are protected. Vendor receives a limited, non-transferable license to display the badge only during an active term. Vendor must stop use upon expiration/revocation. Misuse may result in legal action.
8. Indemnification
Vendor agrees to indemnify and hold harmless OfficialCutCost from claims arising from vendor misconduct, disputes, misrepresentation, legal violations, or product/service failures.
9. Limitation of Liability
OfficialCutCost is not liable for vendor-customer disputes, losses, or indirect damages. Platform liability (if any) will not exceed the listing fee paid for the current term.
10. Force Majeure
The Platform is not liable for delays/failures due to events beyond reasonable control (outages, restrictions, disasters, cyber incidents).
11. Renewal & Fee Adjustment
Renewal is optional and subject to the applicable renewal fee and any updated standards. The Platform may revise pricing for future terms.
12. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria.
13. Digital Acceptance
Application submission, payment, or activation constitutes electronic acceptance of this Agreement.
14. Entire Agreement
This Agreement supersedes prior representations and constitutes the entire agreement between parties.
